Who these terms cover
Centranette Systems, operating the Centranet platform from Ruiru 00232, Kenya, provides software for internet service providers, resellers and their teams. These terms govern platform services when incorporated into your accepted order, subscription or service agreement. Centranette Systems is the platform contracting entity unless a separately accepted agreement expressly identifies a different supplier. An ISP’s contract to supply internet to its subscribers is a separate agreement.
A person accepting on behalf of a business must have authority to bind it. Users must be at least 18 or otherwise legally able to enter the relevant agreement. Do not register an account using another person’s identity or inaccurate business details. Mandatory consumer and data-protection rights remain in force.
RDX AFRIKA Ltd is a business partner of Centranette Systems. That partnership does not by itself make RDX AFRIKA Ltd the supplier under your platform agreement or authorize it to access your records. Any separately supplied partner service must identify its supplier, scope and applicable terms.
Documents and order of priority
Your accepted order identifies the service, price, currency, billing period and any special commitments. A separately signed agreement prevails where it expressly varies these terms. The Data Processing Addendum governs processing undertaken for your organization; the Privacy Policy explains processing for Centranet’s own purposes. The Acceptable Use Policy and applicable payment, shop and refund policies form part of the relevant service terms when incorporated into your order.
Marketing summaries, estimates, demonstrations and roadmap items are not additional contractual guarantees. Review and retain the order and terms presented to you before accepting. Contact us to resolve an inconsistency before purchasing.
Accounts, staff and security
You are responsible for accurate registration details, maintaining authorized administrators and assigning appropriate staff access. Keep passwords, one-time codes, router credentials, API keys and recovery materials confidential. Remove access promptly when a staff member leaves. Notify us promptly if you suspect unauthorized access.
You must own or have permission to manage the routers, domains, payment accounts and data you connect. Centranet may request reasonable identity or ownership evidence and restrict a compromised account while investigating. We will not treat your staff’s access to one workspace as authorization to access another.
Subscriptions, trials and changes
The price, included capacity, trial eligibility and optional charges shown in your accepted order control your subscription. Payment-processing, messaging, domains, hardware and third-party services may be charged separately. A trial is not a promise that every external provider will approve your account or that every feature is available in every country.
Renewal frequency and any recurring-payment authorization must be disclosed when you subscribe. You may request cancellation through the available account controls or support; cancellation takes effect as stated in the accepted billing terms and does not erase amounts already properly due. We will disclose material pricing changes before they apply to a future period. Existing paid periods are not retrospectively repriced.
Network changes and your ISP obligations
You remain responsible for your internet-service licences, upstream connectivity, equipment suitability, local installations and commitments to subscribers. Back up configurations and review the affected interfaces before authorizing network changes. Keep a recovery method and test subscriber connectivity after installation or a package change.
Remote configuration, router monitoring and Hotspot recovery depend on power, connectivity, supported device software and successful device acknowledgements. Commands may pause or fail when those prerequisites are unavailable. Automatic recovery or unused-time compensation does not guarantee uninterrupted internet or a refund from your upstream provider.
Payments and connected providers
Payment providers approve accounts, authorize transactions and determine settlement availability. A customer payment, cleared balance and completed payout are different stages. Centranet records and orchestrates supported workflows; a pending request is not proof of completed settlement. See the Payments & Payouts Policy for reconciliation, fees and payout responsibilities.
When you use your own gateway, your provider agreement governs its services and credentials. Third-party approval, outages, review, network failures, reversals and foreign-exchange conditions can affect availability. Centranet does not promise payment methods or cross-border routes that have not been enabled for your account.
Your content, data and licence
You retain rights in your customer records, logos, content and other materials. You give Centranet the limited permission needed to host, process, transmit, back up and display them to deliver the services and follow your lawful instructions. This is not a transfer of ownership. You must have the rights and lawful basis necessary to provide these materials.
Subject to your agreement, Centranet grants a limited right to use the subscribed software for your business. The software, platform design and Centranet marks remain with their respective owners. You may not resell access, remove required notices or represent that you own the underlying software except to the extent expressly allowed by a reseller or white-label agreement.
Resellers and white-label services
A reseller is responsible for the promises, prices, customer notices, staff permissions and support arrangements it offers its clients. Branding a portal does not transfer ownership of the platform or change who operates a subscriber’s internet service. Identify the actual service provider and supply lawful terms and privacy notices for your own customers.
Custom domains and branding depend on your subscription entitlement, domain control, DNS configuration and certificate validation. A branding licence does not authorize misleading affiliation or use of another business’s marks. Charges and client-workspace allowances are those in the accepted reseller offer.
Automation, assistants and communications
Automation acts within configured permissions, provider capabilities and recorded instructions. Review high-impact changes, generated marketing claims and account permissions. Generated text, images, diagnostics and recommendations can contain errors and require appropriate human judgment. SEO, campaign delivery, sales, rankings and revenue are not guaranteed.
You remain responsible for the recipients, permissions, claims and content of communications sent for your business. Do not use automation to circumvent opt-outs, platform restrictions or privacy protections. Service notifications needed to operate or secure an account are distinct from optional promotional messages.
Availability, maintenance and support
We take reasonable steps to operate and support the subscribed services. Software and internet infrastructure may experience faults, maintenance or third-party interruptions. No particular uptime percentage, restoration deadline, response time or service credit applies unless included in a separate written service-level commitment.
Report incidents with relevant timestamps and references, avoiding passwords and payment secrets. Maintain appropriate business-continuity arrangements and independent copies of records essential to your operation. A backup feature is not a guarantee of recovery of every record or the latest change.
Suspension, termination and exit
We may proportionately restrict affected functions where required by law, necessary to address a credible security threat, persistent nonpayment, abuse or a material breach. Where practicable, we will explain the reason and allow reasonable remediation; urgent protective action may come first. You may contact support to dispute a restriction.
At termination, authorized use ends and unpaid valid charges remain due. Request available exports before access ends. We will address return or deletion of personal data under the applicable processing terms, subject to legal retention, disputes, fraud prevention and backup constraints. Settlement or refund obligations do not disappear merely because an account is closed.
Liability and third-party claims
Neither party excludes liability that applicable law prohibits it from excluding, including applicable liability for fraud, deliberate misconduct or mandatory consumer remedies. Centranet does not exclude its own obligations simply because an external provider is involved.
For business-to-business claims only, to the extent legally permitted and unless a signed agreement provides otherwise, each party’s aggregate liability arising from the platform agreement is limited to the platform subscription fees paid or payable for the affected services in the twelve months before the event. Indirect or consequential losses and lost anticipated profits are excluded to that extent. This cap does not reduce properly owed customer funds, agreed refunds, fees due, or liability that cannot lawfully be limited.
If your unlawful content, misuse of another person’s intellectual property or unauthorized use of the platform causes a third-party claim against Centranet, you are responsible for the reasonably substantiated losses attributable to that conduct, subject to applicable law. We must promptly notify you, reasonably cooperate and avoid admissions or settlements imposing obligations on you without your agreement. This does not cover losses caused by Centranet’s own breach or misconduct.
Disputes and applicable law
Raise a complaint first with the support contact shown below, identifying the account, relevant events and the remedy requested. We will investigate and seek a practical resolution. Neither party is prevented from seeking urgent relief, making a regulatory complaint or exercising a non-waivable right.
Unless your signed agreement specifies otherwise, Kenyan law governs the platform agreement and the competent courts of Kenya may hear disputes, subject to any mandatory law or forum rights applicable to you. International availability does not override local consumer, telecommunications, tax or data-protection rules.
Updates and contact
Material changes will be communicated through an appropriate account or contact channel before taking effect where required. Changes do not retrospectively remove accrued rights. A document’s publication date alone does not mean you have accepted a new contract; acceptance and any notice period are governed by your agreement and applicable law.
Use the legal contact below for contractual notices, billing disputes and requests for a copy of the applicable terms. Include your workspace or order reference and keep a copy of your correspondence.
